ATHLETES’ ANGELS STAFF CONTRACT
This contract governs your engagement from time to time by ATHLETES’ ANGELS LIMITED (“the Company”) as a therapeutic support staff member. This is not an employment contract and does not confer any employment rights on you (other than those to which workers are entitled). In particular, it does not create any obligation on you to perform work for the Company (unless you have accepted a specific assignment) or on the Company to provide work to you and there will be no mutuality of obligation between the parties.
Company's discretion as to work offered: It is entirely at the Company's discretion whether to offer you work and it is under no obligation to provide work to you at any time. The Company reserves the right to give or not give work to any person at any time and is under no obligation to give any reasons for such decisions.
No presumption of continuity: Each offer of work by the Company which you accept shall be treated as an entirely separate and severable engagement (an assignment). The terms of this contract shall apply to each assignment but there shall be no relationship between the parties after the end of one assignment and before the start of any subsequent assignment. The fact that the Company has offered you work, or offers you work more than once, shall not confer any legal rights on you and, in particular, should not be regarded as establishing an entitlement to regular work or conferring continuity of employment.
Arrangements for work: Before the Company can offer you any work, you are required to complete an application form providing details of your experience, skills and qualifications etc. The Company shall use the information provided by you to determine your suitability for work. For this reason, it is important that all the details supplied are truthful and accurately reflect your experience, skills and qualifications.
It is your responsibility to inform the Company of any changes to the information provided by you e.g., new qualifications, lapsed practising certificates, etc. If any of the information supplied by you is found to be incorrect, the Company may withdraw any offer of work and remove your name from the staff bank without notice.
If the Company wants to offer you any work it will contact you and provide you with a copy of the available event information at that time. Time permitting, a copy of the operation orders will be sent to you in advance of any event. You are under no obligation to accept any work offered by the Company at any time. However, if you accept an assignment, you must inform the Company immediately if there is any unforeseen event that prevents you from completing it.
The Company reserves the right to terminate an assignment at any time for operational reasons. You will be paid for all work done during the assignment up to the time it is terminated.
Work: The Company may offer you work from time to time based on your experience, skills and qualifications and the precise duties for each assignment will be specified in the offer.
You confirm that you are legally entitled to work in the UK without any additional immigration approvals and agree to notify the Company immediately if you cease to be so entitled at any time.
You certify that you are qualified to the level outlined in your application form and that you carry your own medical negligence insurance for the performance of the duties expected of your role.
You certify that all other information provided in the application form is correct.
You are required to only work within the limits of your own clinical ability and are expected to seek assistance from the medical director when situations present outside your personal clinical expertise.
You are required to perform your duties with reasonable care and skill and are required to adhere to all reasonable instructions given to you by the Company. You shall also observe all requirements of your particular profession and ensure that adequate patient records are maintained to reflect the work carried out by you on each assignment.
The Company shall provide you with oils to enable you to perform your duties and you are responsible for ensuring that you have the equipment suitable for your role. If you foresee any need for further kit, you must inform the Therapy coordinator.
You shall also sign a confirmation that you have read and considered the operation orders for each assignment and shall direct any questions you may have concerning the operation orders exclusively to the Company.
You are responsible for taking care of your own health and safety and you shall notify the Company immediately in case of fatigue, illness or any other reason which may impair your fitness for work or clinical judgement.
The Company may remove you from an assignment for a reason relating to your conduct and / or fitness to practice and reserves the right to terminate this contract with you in such an event.
Place of work: Yours place of work shall be notified to you on an assignment by assignment basis.
Hours of work: The Company shall notify you of your hours of work on an assignment by assignment basis. You shall also be notified of any arrangements in place for rest and lunch breaks if appropriate. If you are concerned about any shift timings or hours of duty, you shall notify the Therapy coordinator.
Pay: The Company shall advise you of your rate of pay on an assignment by assignment basis. The rate of pay shall vary depending on your role and times of work. The Company reserves the right to vary the rates of pay for particular members of the medical support staff in line with their skills, experience and qualifications. You will only be paid for the hours that you work.
The Company shall provide you with a pro forma invoice and it shall be your responsibility to complete and submit to us an invoice for your services in respect of each assignment. You will be paid within 30 days of the completion of each assignment or, if later, as soon as the company has received funds from the event organisers. The Company shall be entitled to deduct from your pay or other payments due to you any money which you may owe to the Company at any time.
You will pay all tax and national insurance contributions which are due by you in relation to payments to be made to you by the Company and you indemnify the Company in respect of all and any income tax and national insurance contributions which may be found due from the Company on any payments made to you under this agreement together with any interest, penalties or gross-up thereon.
Sickness and absence: If you have accepted an offer of work but are subsequently unable to work the hours agreed, you must notify the Company of the reason for your absence as soon as possible. If you are unable to work, this lets us down significantly as well as the other staff on the event, participants of the event and the event organisers. Accordingly, please notify us as soon as possible if circumstances arise which mean you might not be able to attend as agreed. It is our policy not to offer further work for two years to anyone who fails to attend without either giving notice or having good reason for being unable to give notice. You will not be entitled to receive any pay in respect of any period of sickness or injury during an assignment.
Data protection: You consent to us holding and processing, both electronically and manually, the data that we collect about you, in the course of your working relationship with us, for the purposes of the administration and management of our staff and our business and for compliance with applicable laws, procedures and regulations. We may be required by law to disclose any of the personal data which we hold about you.
Company rules and procedures: During each assignment you are required at all times to comply with any relevant Company rules, policies and procedures in force from time to time. As our representative you will at all times maintain the highest professional standards in carrying out assignments.
You will wear the Athletes’ Angels uniform as instructed for your position at all appropriate times.
Your professional responsibility and liability: You are responsible for ensuring that you have adequate insurance cover for the work you undertake and for notifying your own defence organisation of your engagement under these terms and for seeking their permission and / or consent to undertake this work.
The Company shall not be held liable for any claims resulting from your own clinical negligence or for any breach of your professional duties or a failure to take reasonable care for the health, safety and wellbeing of the patients which from time to time shall be under your care.
You indemnify the Company against any claim brought against it resulting from your clinical negligence or for any breach of your professional duties or a failure to take reasonable care for the health, safety and wellbeing of the patients which from time to time shall be under your care. You agree to pay and /or reimburse any legal or other expenses incurred by the Company in the defence of any claim.
Confidential information: You shall not use or disclose to any person, either during or at any time after your engagement by the Company, any confidential information about the business or affairs of the Company or about any other matters which may come to your knowledge as a result of carrying out assignments. For the avoidance of doubt, this includes any confidential patient information. For the purposes of this clause, confidential information means any information or matter which is not in the public domain and which relates to the affairs of the Company. Therestriction in this clause does not apply to:
making a protected disclosure within the meaning of section 43A of the Employment Rights Act 1996; or
use or disclosure that has been authorised by the Company or is required by law or in the course of your duties.
Restrictive Covenant: You shall not approach the event organiser with a view to procuring employment for yourself outside of the Company or in order to establish a business providing medical support services to event organisers in your own right.
If the event organiser contacts you about the provision of medical support services for the current or future events you shall refer all such enquires to the Company and shall not pass business to third parties without first seeking permission from the Company to do so.
Company property: You agree to take care of any equipment provided to you by the Company and to return the unused items to the Company at the end of each assignment. You agree to report any damage or loss to the Company as soon as possible and in particular shall immediately notify the Company of any missing pharmaceuticals without delay.
All documents, manuals, hardware and software are provided for your use by the Company, and any data or documents (including copies) produced, maintained or stored on the Company's computer systems or other electronic equipment (including mobile phones), remain the property of the Company.
Any Company property in your possession and any original or copy documents obtained by you in the course of your work for the Company shall be returned to the Company at any time on request and in any event at the end of each assignment.
Termination: If you wish your name to be removed from the Company's staff bank you should inform the Company as soon as possible. The Company may remove your name from the staff bank at any point. If your name is removed from the staff bank, this contract terminates. The Company shall notify you in writing that it has removed your name from the staff bank and terminated the Contract.
The Company may terminate this contract immediately by giving notice in writing to you if it reasonably considers that you have committed any serious breach of its terms or committed any act of gross misconduct. Non-exhaustive examples of gross misconduct include dishonesty, theft, fighting, misuse of drugs or alcohol or any other acts or omissions which might bring the Company into disrepute.
Changing terms and conditions: The Company may review its requirement for medical support staff from time to time and/or may update the terms on which it offers such work. In the event of any changes to the terms on which it is prepared to medical support staff the Company may terminate this contract with immediate effect by giving notice in writing to you and you may, at the Company's absolute discretion, be offered a new contract.
Governing law: This contract will be governed by Scots Law and the parties submit to the non exclusive jurisdiction of the Scottish Courts.
